    for  Adopt  an  Elf  Event

    Thank you for your interest in hosting your own Adopt an Elf online promotion!  Please fill out the following agreement and email back the attached W-9.  Once we receive both forms, we will contact you to get started!
    a business entity contractor, hereinafter sometimes called “The Independent Contractor” or the “IC”. 

    ​Subject to the terms and conditions of this Agreement, the Company 
    Hereby engages the Contractor as an IC to perform the services set forth herein, and the Contractor hereby accepts such engagement pursuant to any future contract.
    1. Qualifications  The IC has represented that he/she/it has the proper qualifications and training to perform services for the Company for their Adopt an Elf events.  Services shall include all work necessary to complete the Adopt an Elf Event.
    2. Scope of Services to be Provided under Contracts The Company and IC shall mutually agree to the services to be provided by the IC for the Company at the specific event.   The event and agreement shall be for a limited date and duration to allow the IC to complete the work within the times allotted for the event.
    3. Timeliness of Contracts and Services  Time is of the essence for the IC to perform and complete the work and services under the agreement.  The IC will be required to commence, perform and complete the work and services under the agreement pursuant to schedule provided by the Company.  The IC shall use its own expertise to provide the required work and services; however failure of the IC to fully and timely perform the work and services under the agreement shall be an event of default and IC shall therefore become liable for all costs, expenses, damages and loss to the Company caused by the default of the IC.
    4. Standards of Conduct and Confidentiality  IC is aware that it will come in to contact with third parties during performances of services under the agreement and that professional appearance, conduct and interaction will be required to properly complete this event.  Rules of conduct, use of third party space or property, property of the Company and accountability shall be governed by the “honest business practices” standard.  In the event that IC uses or becomes aware of any trade secrets or confidential information belonging to the Company, the IC will not disclose any of such to others or use such for its own benefit without the express written consent of the Company.  All Company records, files, equipment, trade secrets shall at all-times be and remain the property of the Company exclusively.  Company shall be allowed to introduce IC at any event without change in the agreement or any payment to IC.
    5. Freedom to Contract  IC represents that it can lawfully enter into this Agreement, without obligation to any other contract or third party and that by entering into this Agreement.   IC will devote sufficient time and effort to fulfill the projects for which it contracts with the Company.  IC is free to contract with third parties to supply its services, however IC shall not engage in any activities detrimental to any contract with the Company while performing services and for a period of six months thereafter shall not solicit any contract with any customer of the Company for services similar to those provided by IC under this Agreement.  Under this agreement IC agrees that it will not compete with Sassafras with services similar to Sassafras with another company.
    6. Payment of Contract and Expenses  IC shall receive the agreed “contract amount” or “CA” from the Company as provided in the agreement upon completion of the services and upon completed and submitted invoice for review by the Company.   
    7. Insurance and Risk of Loss  IC shall provide all of its own insurance including worker compensation, health insurance, liability insurance, auto/vehicle insurance, all risk loss and any other insurance desired by the IC.  Company shall only provide its own insurance for its own operations and not for IC.
    8. Independent Contractor  This Agreement shall not render the Contractor an employee, partner, agent of, or joint venture with the Company for any purpose. The Contractor is and will remain an independent contractor in the relationship to the Company. The Company shall not be responsible for withholding taxes with respect to the Contractor’s compensation hereunder. The Contractor shall have no claim against the Company hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.
    9.  Assignment and Termination  IC and Company will not assign either of their rights under this agreement without the consent of the other.  This agreement can be terminated in writing by either party at any time after all services have been completed, however all obligations stated herein shall survive any termination. ​
